Legal & Operational Boundaries
Terms of Service (Scope Isolation)
Operational governance, service boundaries, and liability constraints governing autonomous WordPress maintenance delivered by WPSmooth LLC.
Entity: WPSmooth LLC
Effective: September 2026
Model: Autonomous Managed Services (AMS)
Support: Asynchronous Only
🛡️
Scope Isolation Summary
WPSmooth LLC operates strictly as an autonomous maintenance, security, and edge-proxy provider. Operations require zero SSH or root server access. Front-end development, bespoke code creation, and SEO work are strictly excluded to maintain 100% operational velocity and reliability.
01
Service Scope & Execution Protocol
-
✓Included Operations: Autonomous daily backups streamed directly to isolated zero-egress cloud object storage, preventative edge security via custom Layer-7 WAF rules, dynamic edge caching, and API-triggered updates orchestrated via the WPSmooth Client App.
-
✗Excluded from Core Subscription: The base subscription strictly prohibits and excludes front-end custom development, content creation, and SEO optimization from the operational scope.
-
⚡Bespoke Engineering Retainer: Advanced technical requests, custom architectural deployments, and bespoke coding falling outside the automated infrastructure scope are billed separately at a standard engineering rate of $125/hour. These requests are strictly subject to availability and require a separate project scope approval.
-
ℹCommunication Protocol: All operational support and client communication is conducted on a strictly asynchronous basis.
02
Onboarding & Pre-Existing Technical Debt
-
•API Handshake Requirement: Target sites must successfully connect via the WPSmooth Client App and map to the WPSmooth Anycast Edge Gateway infrastructure.
-
•Tech Debt Remediation: If the initial API connection fails due to existing malware, structural database corruption, or critical incompatibilities, standard onboarding is immediately suspended.
-
•Remediation Protocol: The client is routed to a mandatory Custom Remediation Agreement, billed at a flat rate of $499, to restore the site to a deployable, zero-friction baseline.
03
Infrastructure & Agentic Intervention
-
•Zero-Friction Access: Operations function strictly through WPSmooth Anycast Edge Gateway routing and the WPSmooth API Bridge, deliberately excluding any requirement for SSH or server root access.
-
•Autonomous Remediation: In the event of a catastrophic update, a custom MU-plugin drop-in (
fatal-error-handler.php) automatically intercepts PHP fatal errors (WSOD), deactivates the offending plugin, and triggers an autonomous WPSmooth Vault™ snapshot rollback via the API.
04
Limitation of Liability & Financial Caps
-
•Liability Constraint: Due to the autonomous nature of the API-driven remediation, WPSmooth LLC's maximum aggregate financial liability for any anomalous downtime, data loss, or service interruption is strictly capped at one month of the client's current service fees.
-
•Indirect Damages: Complete exclusion of liability for indirect, consequential, or special damages, including lost revenue, lost profit, or business interruption.
05
Billing, Recurring Stripe Authorization & 30-Day Guarantee
-
•Stripe & Recurring Payment Authorization: By enrolling in WPSmooth services, the client explicitly authorizes WPSmooth LLC to process recurring monthly retainer charges via our PCI-DSS Level 1 payment processor (Stripe). Subscriptions renew automatically each month on the recurring billing anniversary. The client authorizes ongoing charges to their designated payment method until the formal 30-day termination notice is executed.
-
✓30-Day Speed & Security Promise (Refund Policy): In accordance with our master guarantee, if within the first thirty (30) days following initial DNS proxy delegation and service activation, the client's site is not measurably faster, strictly hardened, and fully stabilized under our autonomous 3-plugin/proxy architecture, the client is eligible for a 100% refund of their initial first-month subscription fee. Refund requests must be submitted in writing via our asynchronous support channels before the conclusion of the 30-day initial period. Upon issuance of the refund, service is terminated immediately and DNS routing is reverted.
06
Termination & Offboarding Procedures
-
•Notice Period: Following the initial 30-day guarantee period, a 30-day advance notice is required for the termination of ongoing monthly retainer agreements.
-
•Offboarding Protocol: Upon termination, WPSmooth LLC will execute the severing of the WPSmooth Client App API connection and purge the Anycast Edge Gateway routing (CNAME/A-record mapping), returning standard routing control to the client.
07
Governing Law & Exclusive Jurisdiction
-
•Wyoming Governing Law: These Terms of Service, all service agreements, and any dispute, controversy, or claim arising out of or related to WPSmooth LLC operations shall be governed by, and construed and enforced strictly in accordance with, the internal laws of the State of Wyoming, without giving effect to any principles of conflicts of law.
-
•Exclusive Venue: Any legal action, litigation, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts situated in Sheridan County, Wyoming. Both parties irrevocably consent and submit to the exclusive personal jurisdiction of such courts and unconditionally waive any defense or objection based on improper venue or inconvenient forum (forum non conveniens).
